Conditions of Sale

1.  Prices quoted remain in effect for thirty (30) days from the date of this quotation unless otherwise specified.  Quotations not accepted within thirty (30) days will be subject to review and revision.  Prices quoted are based on specifications and quantities as listed in quotation and we reserve the right to revise the quoted prices if specifications or quantities are altered. 
2. All excise, sales, use, and other similar taxes applicable to this order and required to be collected by the Seller shall be added to the invoice.
3. Transportation of order shall be at the Seller's discretion unless specified by Buyer.  Any difference between Seller's routing and Buyer's special routing will be charged to Buyer.
4. All quotations are subject to the approval of the Seller's Credit Department.
5. When this proposal is accepted, it shall be considered as a firm commitment and not subject to cancellation except upon terms which will protect the Seller from loss.
6. The Seller's products are not guaranteed for any specific length of time or measure of service, but are warranted only to be free from defects in workmanship and material.  The Seller's obligation is specifically limited to the repair or replacing of defective material or workmanship and in no event shall the Seller be liable for consequential or incidental damages.  No claim of any kind, whether as to goods delivered or for non-delivery of goods, shall be greater in amount than the purchase price of the goods.  No charge or expenses incident to claim will be allowed unless approved by an authorized representative of the Seller.  Goods shall not be returned without the Seller's permission.  
7. Except as set forth, no other warranty, either expressed or implied, is made by the Seller to the Buyer.  This acknowledgment contains the conditions of sale.  Any attempt to modify or change the conditions stated herein shall not be binding upon the Seller.
8. A 1-1/2% per month, 18% annually, service charge will be added to all accounts over 30 days past due.
